About us

We know the mining market. We manage the sale.

Cumbres Sur is a Chilean firm specialized in originating, structuring and managing the sale of mining assets to domestic and foreign investors and companies.

We advise on the marketing of mining projects, companies, concessions, plants and royalties at every stage of a project's development, from exploration to operations at full production.

We combine commercial, financial and legal capabilities and work with a network of specialized geologists and engineers. This allows us to address the technical, regulatory, contractual and economic aspects of each transaction in parallel, and to support our clients throughout the process.

Transaction structures

Three ways to take an asset to market.

01 Strategic partner with purchase option

An investor funds exploration or development in exchange for a progressive interest and the option to acquire control of the asset or the whole of it.

  • Option agreements over mining concessions
  • Earn-in by investment milestones
  • Staged payments and work commitments

02 Outright sale of the company or the assets

Transfer of the holding company (share deal) or of the mining concessions and assets (asset deal), for cash, deferred or milestone-based consideration.

  • Purchase of shares or equity interests
  • Purchase of registered mining concessions
  • Contingent payments and retained NSR

03 Other bespoke structures

Legal and financial solutions designed around the asset, its owners and the investor's profile.

  • Joint ventures and shareholders' agreements
  • Creation or sale of NSR royalties
  • Mining leases with option, offtake and financing
